Charte des Conditions Générales d'Engagement
Entre ADES Concept Création et toute entreprise cliente
1. Objet
La présente charte définit les conditions générales d'engagement entre ADES Concept Création et toute entreprise cliente pour la création de visuels conceptuels destinés aux spectacles, films, publicités et jeux vidéo, incluant mais sans s'y limiter le matte painting et le concept art.
2. Engagement des parties
ADES Concept Création s'engage à fournir des prestations de création conformes aux attentes du client, sur base des informations fournies. Le client s'engage à fournir un brief clair et précis, à répondre dans des délais raisonnables et à respecter les engagements contractuels.
3. Devis et acceptation
Tout projet fait l'objet d'un devis précis, indiquant la nature des prestations, le planning et le tarif applicable. La validation écrite du devis par le client vaut acceptation des présentes conditions générales.
4. Tarification et paiement
Les prestations sont facturées sur base d'un tarif journalier défini dans le devis. Un acompte peut être demandé avant le démarrage du projet. Les paiements doivent être effectués selon les modalités prévues dans le devis et la facture. Tout retard de paiement entraînera des pénalités conformes aux lois en vigueur. De plus, des frais de retard seront appliqués selon les dispositions légales en vigueur en Belgique.
5. Propriété intellectuelle
Sauf accord contraire, les visuels créés restent la propriété d'ADES Concept Création jusqu'à règlement intégral de la facture. Une licence ou cession de droits peut être accordée sous conditions spécifiques.
6. Modifications et révisions
Le devis inclut un nombre défini de modifications. Toute modification supplémentaire fera l'objet d'une facturation additionnelle.
7. Délais et livrables
ADES Concept Création s'engage à respecter les délais convenus sous réserve de la réactivité du client. Les fichiers finaux seront livrés dans les formats préalablement convenus.
8. Confidentialité et NDA
Tout projet peut faire l'objet d'un accord de confidentialité (NDA) signé entre les parties. Cependant, en cas de non-paiement aux échéances prévues, ADES Concept Création se réserve le droit de résilier unilatéralement tout accord de confidentialité.
8.1 Droit de présentation et confidentialité
Sauf demande expresse du client formulée par écrit avant le début de la mission, la société ADES Concept Création se réserve le droit de présenter, publier ou diffuser à titre de démonstration tout ou partie des travaux réalisés dans le cadre d'un projet (recherches, croquis, concepts, visuels, éléments non retenus, etc.) sur ses supports de communication : site internet, réseaux sociaux, portfolio, expositions, ou présentations professionnelles.
En cas de défaut de paiement total ou partiel dans un délai de soixante (60) jours à compter de la date de facturation, la société ADES Concept Création se réserve également le droit de présenter lesdits travaux, y compris ceux initialement destinés à rester confidentiels, à condition qu'aucune clause de confidentialité formelle n'ait été signée.
Toute demande de signature d'un accord de confidentialité (NDA) doit être effectuée avant le démarrage de la prestation. À défaut, aucun engagement de confidentialité ne pourra être opposé à la société ADES Concept Création concernant les contenus réalisés.
En cas d'acceptation tardive d'un NDA (après début de mission), la signature dudit document n'interviendra qu'après règlement complet de toutes les sommes dues pour la prestation concernée. Le NDA ne pourra en aucun cas rétroactivement limiter la communication de contenus déjà partagés publiquement avant sa signature.
Les éléments explicitement signalés par le client comme stratégiques, sensibles ou confidentiels (briefs internes, informations techniques, documents privés…) ne seront pas diffusés, même en l'absence de NDA, sauf accord écrit du client.
9. Annulation et résiliation
En cas d'annulation du projet par le client après validation du devis, les heures travaillées seront facturées. ADES Concept Création se réserve le droit de résilier un contrat en cas de manquement grave aux engagements pris par le client.
10. Responsabilités et limitations
ADES Concept Création fournit des visuels conformes aux briefs et ne peut être tenu responsable de l'utilisation faite des créations par le client.
11. Force majeure
En cas de force majeure (catastrophe naturelle, problème technique majeur, etc.), ADES Concept Création et le client conviennent d'un report des délais ou d'une résolution amiable.
12. Droit applicable et litiges
Tout litige relatif à l'application de cette charte sera régi par le droit belge et soumis aux tribunaux compétents.
En signant un devis d'ADES Concept Création, le client accepte les présentes conditions générales.

General Terms of Engagement Charter
Between ADES Concept Création and any client company
1. Purpose
This charter defines the general terms of engagement between ADES Concept Création and any client company for the creation of conceptual visuals for shows, films, advertisements, and video games, including but not limited to matte painting and concept art.
2. Commitments of the Parties
ADES Concept Création undertakes to provide creative services in line with the client's expectations, based on the information provided. The client undertakes to provide a clear and precise brief, respond within reasonable timeframes, and adhere to contractual commitments.
3. Quotation and Acceptance
Each project is subject to a detailed quotation specifying the nature of the services, the schedule, and the applicable rate. The client's written approval of the quotation constitutes acceptance of these general terms.
4. Pricing and Payment
Services are billed based on a daily rate specified in the quotation. A deposit may be required before starting the project. Payments must be made according to the terms specified in the quotation and invoice. Any late payment will result in penalties in accordance with applicable laws. Additionally, late fees will be applied according to the legal provisions in force in Belgium.
5. Intellectual Property
Unless otherwise agreed, the created visuals remain the property of ADES Concept Création until full payment of the invoice. A license or transfer of rights may be granted under specific conditions.
6. Modifications and Revisions
The quotation includes a defined number of modifications. Any additional modifications will be subject to extra billing.
7. Deadlines and Deliverables
ADES Concept Création commits to meeting the agreed deadlines, subject to the client's responsiveness. Final files will be delivered in the previously agreed formats.
8. Confidentiality and NDA
Any project may be subject to a signed Non-Disclosure Agreement (NDA) between the parties. However, in the event of non-payment by the agreed deadlines, ADES Concept Création reserves the right to unilaterally terminate any confidentiality agreement.
8.1 – Right of Presentation and Confidentiality
Unless the client expressly requests in writing before the start of the assignment, ADES Concept Création reserves the right to present, publish, or distribute, as a demonstration, all or part of the work produced as part of a project (research, sketches, concepts, visuals, rejected elements, etc.) on its communication media: website, social media, portfolio, exhibitions, or professional presentations.
In the event of total or partial non-payment within sixty (60) days of the invoice date, ADES Concept Création also reserves the right to present said work, including work initially intended to remain confidential, provided that no formal confidentiality clause has been signed.
Any request for the signing of a non-disclosure agreement (NDA) must be made before the start of the service. Otherwise, no confidentiality commitment can be imposed on ADES Concept Création regarding the content produced.
In the event of late acceptance of an NDA (after the start of the assignment), the document will only be signed after full payment of all amounts due for the service in question. The NDA may under no circumstances retroactively limit the communication of content already shared publicly prior to its signature.
Elements explicitly identified by the client as strategic, sensitive, or confidential (internal briefs, technical information, private documents, etc.) will not be disseminated, even in the absence of an NDA, unless the client has given its written consent.
9. Cancellation and Termination
If the client cancels the project after approving the quotation, the hours worked will be billed. ADES Concept Création reserves the right to terminate a contract in the event of a serious breach of commitments by the client.
10. Responsibilities and Limitations
ADES Concept Création provides visuals in accordance with the briefs and cannot be held responsible for how the client uses the creations.
11. Force Majeure
In the event of force majeure (natural disaster, major technical issue, etc.), ADES Concept Création and the client agree to either extend deadlines or reach an amicable resolution.
12. Applicable Law and Disputes
Any dispute relating to the application of this charter will be governed by Belgian law and submitted to the competent courts.
By signing a quotation from ADES Concept Création, the client accepts these general terms.
